Don't do it. Sex is a big deal for a relationship and the last thing you want to do is think back to how your first time was with some one you didn't care about and they didn't care about you. I mean why are you doing this? Because your insecure? Because you want to loose your virginity? Why would you want to what is the motivation behind your decision. I think you need to ask yourself that question first. I'm not saying virginity is the end all be all of existence but many times people regret whom they lost it to. If sex means anything to you, if you want some one who will love you and to give that part of yourself to some one who will appreciate that, who will care about how that impacts you then I would highly recommend not doing this and waiting to find the right person to do it with. So what is your motivation for doing this?
In general what you said sounds good. But why are you in such a hurry? the problems that might come out of this is that you may not get any affection out of it. You may fall for him and he may not want to get into a relationship with you.
I think it's a great idea. He's your friend, and that's a good thing.

If it's about losing your virginity it may be a good thing that you're not trying to find the love of your life in a big hurry. That said, sex can make you feel pretty intensely for somebody even after one time - even if you've had several partners in your life.
Just be prepared. He may distance himself suddenly if he decides you've become emotionally attached to him. There may also be some social consequences as well, ie making class awkward, rumors etc.
